推薦人／推廣者條款（Affiliate & Promoter Agreement）

一、合作性質（Relationship）

中文：

本條款規範推薦人（以下稱「推廣者」）與本平台之合作關係。推廣者為獨立合作夥伴，非本公司員工、代理人或代表人。

English：

This Agreement governs the relationship between the Promoter and the Platform. The Promoter acts as an independent contractor and is not an employee or agent.

二、推廣範圍（Scope of Promotion）

中文：

推廣者得透過合法方式推廣本平台之課程與服務，但所有推廣內容必須符合本條款及相關法規。

English：

The Promoter may promote the Platform’s courses and services through lawful means, subject to compliance with these Terms and applicable laws.

⚠️ 三、禁止行為（Prohibited Conduct）【最重要🔥】

❗ 中文（強制條款）

推廣者不得從事以下行為：

1️⃣ 保證獲利（嚴禁）

• 不得宣稱「穩賺不賠」
• 不得使用「保證收益」、「固定獲利」
• 不得暗示低風險高報酬

2️⃣ 投資建議／帶單

• 不得提供買賣點（喊單）
• 不得指示交易方向
• 不得模仿投顧行為

3️⃣ 偽造績效

• 不得誇大或虛構收益
• 不得使用未經授權之績效截圖
• 不得誤導回測結果

4️⃣ 資金行為（極重要）

• 不得代收資金
• 不得招募投資
• 不得從事代操或分潤

5️⃣ 冒用官方身份

• 不得自稱「官方分析師」或「投資顧問」
• 不得以公司名義進行承諾

❗ English (Mandatory Compliance)

The Promoter shall NOT:

1. Guarantee profits or fixed returns
2. Provide trading signals or investment advice
3. Misrepresent or fabricate performance
4. Handle client funds or solicit investments
5. Claim official or advisory status

💰 五、佣金與報酬（Commission）

中文：

推廣者依實際有效推薦獲得佣金，計算方式由平台另行公告。

如發現違規推廣：

👉 平台有權取消所有佣金

English：

Commissions are paid based on valid referrals. The Platform reserves the right to revoke commissions in case of violations.

🔍 六、內容審核權（Content Review）

中文：

本平台有權隨時：

• 要求修改推廣內容
• 要求下架不當內容
• 停止推廣資格

English：

The Platform may review, request modification, remove content, or terminate promotion rights at any time.

🚫 七、違約責任（Breach & Penalty）🔥

如推廣者違反本條款：

1. 立即終止合作
2. 沒收佣金
3. 承擔法律責任
4. 賠償損失（含商譽損害）

👉 建議違約金條款：

新台幣100萬元或實際損失擇高

English：

In case of violation:

• Immediate termination
• Commission forfeiture
• Legal liability
• Damages (including reputational harm)

🛡️ 八、法規遵循（Regulatory Compliance）

中文：

推廣者須遵守所在地金融與廣告法規，不得使本平台被認定為投資顧問或非法募集。

English：

Promoters must comply with all applicable financial and advertising laws and must not expose the Platform to regulatory risk.

📵 九、禁止建立錯誤期待（Expectation Control）🔥

中文：

推廣者不得使用以下語言：

❌ 「穩定被動收入」

❌ 「躺著賺」

❌ 「保證翻倍」

❌ 「低風險高報酬」

👉 建議允許用語：

✅ 「學習交易技能」

✅ 「了解市場運作」

✅ 「提升策略能力」

English：

Promoters shall NOT use misleading claims such as:

• “Guaranteed income”
• “Risk-free profits”
• “Easy money”

🧾 十、終止條款（Termination）

中文：

本平台可隨時終止推廣合作。

English：

The Platform may terminate this Agreement at any time.
