一、合作關係（Relationship）
中文：
本合約為合作關係，講師為獨立承攬人，非本公司之員工或代理人，雙方不成立僱傭關係。
English：
This Agreement establishes an independent contractor relationship. The Instructor is not an employee or agent of the Platform.
二、合作內容（Scope of Cooperation）
中文：
講師同意於本平台提供以下內容：
- 金融教育課程
- 技術分析教學
- EA系統操作教學
所有內容僅限教育用途。
English：
The Instructor agrees to provide:
- Financial education courses
- Technical analysis training
- EA system instruction (if applicable)
All content is for educational purposes only.
三、法遵義務（Regulatory Compliance）⚠️關鍵條款
中文：
講師不得從事以下行為：
- 提供明確買賣建議（喊單）
- 保證獲利或固定收益
- 代為操作學員帳戶
- 招募資金或進行投資代操
違反者須負全部法律責任。
English：
The Instructor shall not:
- Provide specific buy/sell signals
- Guarantee profits
- Manage student trading accounts
- Solicit funds or conduct asset management
Violations result in full legal liability.
四、課程內容責任（Content Responsibility）
中文：
講師應確保其課程內容合法且無侵權，並自行負責其專業內容之正確性。
English：
The Instructor is responsible for ensuring that all content is lawful, non-infringing, and accurate.
五、智慧財產權（Intellectual Property）
中文：
講師同意授權本平台：
- 使用其課程內容進行推廣與營運
- 於平台播放與銷售
但講師仍保有原始著作權（除另有約定）。
English：
The Instructor grants the Platform a license to use, distribute, and promote the content. The Instructor retains original ownership unless otherwise agreed.
六、保密義務（Confidentiality）
中文：
講師不得揭露：
- 平台EA技術
- 商業策略
- 學員資料
違反須負損害賠償責任。
English：
The Instructor shall not disclose:
- EA technology
- Business strategies
- Student data
七、競業禁止條款（Non-Compete Clause）
📌 條文（正式版）
中文：
講師於合作期間及終止後二年內，不得：
- 開設與本平台相同或類似之金融交易課程
- 銷售或分享相同交易策略或EA系統
- 挖角本平台學員或會員
- 利用本平台資源自行營運競爭業務
違反者應支付違約金新台幣300萬元或實際損失擇高賠償。
English：
During the term and for two (2) years after termination, the Instructor shall not:
- Offer competing financial trading courses
- Sell or distribute similar strategies or EA systems
- Solicit Platform students
- Use Platform resources for competing businesses
Liquidated damages: NTD 3,000,000 or actual damages, whichever is higher.
八、收益分潤（Revenue Sharing）
中文：
講師之課程收入依雙方約定比例分潤（例如：70%講師 / 30%平台）。
付款方式與週期另行約定。
English：
Revenue shall be shared according to agreed ratios (e.g., 70% Instructor / 30% Platform). Payment terms shall be specified separately.
九、課程管理權（Content Management）
中文：
本平台有權：
- 審核課程內容
- 要求修改或下架
- 因法規或政策調整內容
English：
The Platform reserves the right to review, modify, or remove content for compliance or policy reasons.
十、終止條款（Termination）
中文：
任一方可終止合作，但如有違規，本平台可立即終止並保留法律追訴權。
English：
Either party may terminate the Agreement. The Platform may terminate immediately in case of violation.
十一、責任限制（Limitation of Liability）
中文：
本平台不對講師課程內容所引發之任何損失負責。
English：
The Platform is not liable for any damages arising from the Instructor’s content.
十二、準據法（Governing Law）
中文：
本合約依中華民國法律解釋，並以台灣法院為管轄。
English：
This Agreement shall be governed by the laws of Taiwan (ROC).
